      ANNUAL GENERAL MEETING


    Second Notice of 2007 CMA Annual General Meeting

*Further to the official Notice of the 2007 meeting that was distributed 
to CMA members on February 2, please note that the Bylaw changes have 
been amended, as per the following:*

The Board of Directors of the CMA recommends several amendments 
concerning the size and term of the Board of Directors, and the 
composition of the Nominations Committee. These amendments are to be 
decided by the membership at the 2007 Annual Meeting and to take effect 
at the Annual Meeting in 2008.

It is proposed to enlarge the CMA Board by one member thereby taking the 
total size of the Board to 9 members in total. Specifically one 
additional position is being created as a Vice President so hence forth 
there will be 2 Vice-Presidents. This will permit greater representation 
and greater consideration for the office of President. The President and 
Vice-Presidents will be elected for a 2 year term of office and cannot 
be re-elected for a second term.

It is proposed that the term of the Directors will be changed from a 2 
year term to a 3 year term which is non renewable. This will permit 
greater continuity of Directors for the Association and clarity of 
expected term. Directors and Vice-Presidents can only be re-elected only 
after stepping down from the Board for a minimum period of one year. 

The position of Past President is also being made an ex officio, 
non-voting position on the Board of Directors. The Past President will 
be on the Nominations Commttee, and serve as its Chair, instead of the 
Vice President which could have the appearance of a conflict of interest.
